WEBSITE USER AGREEMENT / TERMS OF USE

Welcome to the website of Club Adion, a club owned and operated by Jaypee Infratech Limited (“JIL”), having its registered office at Sector 128, Noida-201305, with the Club situated at Sector 128, Noida, Uttar Pradesh.
These Website User Agreement / Terms of Use (“Terms”) govern your access to and use of the Club Adion website, including all webpages, member portals, booking interfaces, payment facilities and other digital services made available through the website (“Website”).
For the purposes of these Terms, “Club Adion”, “Club”, “JIL”, “we”, “us” and “our” shall, as the context requires, refer to Jaypee Infratech Limited and/or Club Adion.
By accessing, browsing, registering on or using the Website, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not agree to these Terms, you should discontinue use of the Website.
1. ELIGIBILITY
You may use the Website only if you are legally competent to enter into a binding contract under applicable law.
Where the Website or any service is accessed on behalf of another person, company, organisation, member or guest, you represent that you are duly authorised to act on behalf of such person or entity.
Certain facilities and services may be subject to age restrictions, membership requirements or other eligibility criteria prescribed by Club Adion from time to time.
2. PURPOSE AND NATURE OF THE WEBSITE
The Website is intended to provide information regarding Club Adion and may facilitate, amongst other things:
* information regarding the Club and its facilities;
* membership enquiries and applications;
* member registration and login;
* management of member profiles;
* booking of Club facilities, events, activities and services;
* restaurant, recreational, sporting, wellness and other reservations;
* event registrations;
* payment of membership fees, booking charges and other amounts;
* communication with Club Adion;
* information regarding events, promotions, offers and programmes; and
* such other facilities or services as JIL may introduce from time to time.
The availability of information regarding any facility, membership category or service on the Website does not, by itself, create any entitlement to membership or use of such facility or service.
3. CLUB MEMBERSHIP
Access to or registration on the Website shall not, by itself, confer membership of Club Adion.
Membership of Club Adion shall be governed by the applicable Membership Agreement, Club Rules, Usage Rules, fee structure, policies and Standard Operating Procedures, as amended from time to time.
Submission of a membership application through the Website shall constitute only an application for membership and shall not amount to acceptance or confirmation of membership.
Membership shall become effective only upon approval by JIL/Club Adion and completion of the applicable documentation, eligibility verification, payment and other formalities.
JIL reserves the right to accept or reject a membership application in accordance with the applicable membership terms, eligibility requirements and policies of Club Adion.
4. REGISTRATION AND USER ACCOUNT
Certain functions of the Website may require you to register and create a user/member account.
You agree to provide true, accurate, current and complete information and to update such information whenever required.
You are responsible for maintaining the confidentiality of your username, password, OTP and other authentication credentials.
You shall not permit any unauthorised person to access or use your account.
You shall promptly notify Club Adion if you become aware of any unauthorised access to or use of your account.
JIL may suspend or restrict access to an account where it reasonably suspects unauthorised access, misuse, fraudulent activity or violation of these Terms.
5. BOOKINGS AND RESERVATIONS
Bookings for Club facilities, restaurants, sporting facilities, events, activities or other services through the Website shall be subject to:
* availability;
* applicable membership category and privileges;
* operating hours;
* applicable fees and charges;
* booking and cancellation requirements;
* guest policies;
* facility-specific rules; and
* any additional conditions displayed or communicated at the time of booking.
Submission of a booking request shall not guarantee availability or confirmation.
A booking shall be treated as confirmed only upon issuance of confirmation through the Website, email, SMS, WhatsApp or any other authorised communication channel.
Club Adion may reschedule, relocate, suspend or cancel a booking where reasonably necessary due to maintenance, safety requirements, operational reasons, regulatory directions, force majeure or circumstances beyond its reasonable control, subject to applicable law and the terms applicable to the relevant booking.
6. PAYMENTS
Where payment facilities are provided through the Website, payments may be processed through banks, payment gateways or other authorised third-party payment service providers.
You agree to provide accurate payment information and represent that you are authorised to use the payment instrument selected by you.
Membership fees, booking charges, taxes and other applicable charges shall be displayed or communicated at the relevant stage of the transaction.
Where payment credentials are processed directly by an authorised payment service provider, JIL shall not ordinarily store complete card credentials.
Any charges separately levied by your bank, card issuer or payment service provider shall be governed by your arrangement with the relevant service provider.
7. CANCELLATION, RESCHEDULING AND REFUND
Cancellation, rescheduling and refund of any booking, event registration, membership-related payment or other transaction shall be governed by the applicable cancellation and refund policy communicated in relation to the relevant service.
Refunds, where applicable, shall ordinarily be processed through the original payment method or such other lawful method as may be determined by JIL.
The time required for a refund to reflect in your account may depend upon the relevant bank, payment gateway or payment service provider.
8. MEMBER AND GUEST CONDUCT
Members and their guests using facilities booked or accessed through the Website shall comply with all applicable Club Rules and facility-specific requirements.
The member making a booking may be responsible for ensuring compliance by his/her guests with applicable Club Rules.
Club Adion reserves the right to restrict access to a facility in cases of misconduct, safety concerns, violation of Club Rules or misuse of Club facilities, subject to applicable membership terms and law.
9. ACCEPTABLE USE OF WEBSITE
You shall use the Website only for lawful purposes.
You shall not:
* attempt to gain unauthorised access to the Website, servers, databases or another user’s account;
* introduce viruses, malware, malicious code or other harmful material;
* interfere with the security, operation or integrity of the Website;
* scrape, crawl, extract or systematically collect Website data without written authorisation;
* impersonate another person or provide false or misleading information;
* use another member’s credentials without authorisation;
* circumvent any Website security or access-control mechanism;
* use the Website for fraudulent, unlawful, abusive or misleading purposes;
* reproduce or commercially exploit Website content without permission; or
* undertake any activity prohibited under applicable law.
JIL may suspend or terminate Website access in the event of violation of these Terms.
10. INTELLECTUAL PROPERTY RIGHTS
All rights, title and interest in the Website and its contents, including the name “Club Adion”, trademarks, logos, photographs, graphics, designs, text, software, databases, videos and other materials, belong to JIL and/or the respective licensors/right holders.
No Website content may be copied, reproduced, modified, distributed, republished or commercially exploited without prior written permission of JIL or the relevant rights holder.
You are granted a limited, non-exclusive, non-transferable and revocable right to access and use the Website for personal and lawful purposes.
Nothing contained in these Terms shall be construed as transferring any intellectual property right to any user.
11. PERSONAL DATA AND PRIVACY
Club Adion/JIL may collect and process personal data submitted or generated through your interaction with the Website, including information relating to registration, membership enquiries, bookings, payments, preferences and communications.
Such personal data shall be handled in accordance with the Club Adion Privacy Policy, the Digital Personal Data Protection Act, 2023 and rules made thereunder, to the extent applicable and in force from time to time, the Information Technology Act, 2000 and other applicable laws.
Where consent is relied upon for processing personal data, such consent shall be obtained and managed in accordance with applicable law.
Users should refer to the Club Adion Privacy Policy available on the Website for further information regarding the collection, use, disclosure, retention, security and processing of personal data and the exercise of applicable rights.
12. COMMUNICATIONS AND CONSENT
Club Adion/JIL may communicate with you through email, telephone, SMS, WhatsApp, push notifications or other communication channels in connection with:
* membership administration;
* bookings and transactions;
* payment confirmations;
* operational and facility updates;
* safety and security information;
* events and activities;
* promotional communications, offers and information regarding Club facilities or services, where permitted by applicable law and based upon applicable consent/preferences.
Where consent is required for promotional communications, you may withdraw such consent at any time through the mechanism specified in the relevant communication or by contacting Club Adion.
Withdrawal of consent for promotional communications shall not prevent Club Adion/JIL from sending transactional, membership, safety, security or other communications necessary for providing requested services or otherwise permitted under applicable law.
13. THIRD-PARTY SERVICES
The Website may contain links to or integrations with third-party websites, payment gateways, maps, social-media platforms or other third-party services.
Such third-party services may be governed by their own terms and privacy policies.
JIL does not control such independent third-party websites or services and shall not be responsible for their content, availability or acts or omissions, except to the extent responsibility cannot excluded.
14. INFORMATION AND REPRESENTATIONS ON THE WEBSITE
JIL endeavours to maintain accurate and current information on the Website.
However, photographs, illustrations, descriptions, menus, operating hours, prices, facility information, event details and other Website content may be modified or updated from time to time.
Photographs, illustrations and other visual representations may be indicative and may differ from the actual facilities due to renovation, maintenance, operational requirements or other circumstances.
In the event of any conflict between general Website information and the specific terms applicable to a confirmed membership, booking or transaction, the specific contractual terms governing such membership, booking or transaction shall prevail.
15. AVAILABILITY OF CLUB FACILITIES
Club facilities may be temporarily closed, unavailable or restricted due to:
* maintenance or repairs;
* renovation or refurbishment;
* private events;
* tournaments or organised activities;
* safety requirements;
* capacity restrictions;
* regulatory directions;
* weather conditions; or
* other operational requirements.
Display of any facility on the Website does not constitute a representation or guarantee that such facility shall remain continuously available.
16. WEBSITE DISCLAIMER
The Website and its contents are provided for information and facilitation of Club-related services.
While reasonable efforts are made to maintain the Website, JIL does not warrant uninterrupted, continuous or error-free access to the Website.
Temporary interruption may occur due to maintenance, technical failure, internet disruption, cybersecurity incidents, failure of third-party infrastructure or circumstances beyond JIL’s reasonable control.
Nothing displayed on the Website shall constitute a guarantee or representation beyond the express terms applicable to the relevant membership, booking, facility or transaction.
17. LIMITATION OF LIABILITY
To the maximum extent permitted under applicable law, JIL shall not be liable for indirect, incidental, special, consequential or exemplary losses arising solely from the use of or inability to access the Website.
JIL shall not be responsible for any loss attributable to circumstances beyond its reasonable control or to the acts or omissions of independent third-party service providers, subject to applicable law.
Nothing in these Terms shall exclude or restrict any liability which cannot lawfully be excluded or restricted.
18. INDEMNITY
You agree, subject to applicable law, to indemnify and hold harmless JIL, Club Adion and their respective directors, officers and employees against claims, losses, liabilities, damages or expenses arising from:
* your unlawful use of the Website;
* material breach of these Terms;
* infringement of third-party rights by content submitted by you; or
* fraudulent or unauthorised activity undertaken through your account where attributable to your act or omission.
19. SUSPENSION OR TERMINATION OF WEBSITE ACCESS
JIL may suspend, restrict or terminate access to the Website or any part thereof where reasonably necessary for:
* security or technical reasons;
* suspected fraud or misuse;
* violation of these Terms;
* compliance with legal or regulatory requirements; or
* discontinuation or modification of any Website service.
Suspension or termination of Website access shall not, by itself, determine membership rights unless separate action is taken in accordance with the applicable Membership Agreement and Club Rules.
20. MODIFICATION OF WEBSITE AND TERMS
JIL may modify the Website, its features and these Terms from time to time.
Material changes to these Terms shall be posted on the Website together with an updated “Last Updated” date and, where required under applicable law, appropriate notice or consent shall be obtained.
Your continued use of the Website following such changes shall be governed by the revised Terms, subject to applicable law.
21. FORCE MAJEURE
JIL shall not be responsible for failure or delay in providing Website-related services to the extent caused by circumstances beyond its reasonable control, including natural disasters, fire, flood, epidemic, pandemic, governmental restrictions, civil disturbance, war, telecommunications failure, power failure, cyber incidents or failure of third-party infrastructure, subject to applicable law.
22. ELECTRONIC ACCEPTANCE AND RECORDS
Your acceptance of these Terms through clicking an “I Agree”, “Accept”, “Continue”, “Register”, “Book”, “Pay” or similar button, checkbox or other legally recognised electronic mechanism may constitute electronic acceptance of these Terms in accordance with applicable law.
Electronic records relating to transactions conducted through the Website may be maintained by JIL in accordance with applicable law.
23. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of India.
Subject to any mandatory jurisdiction or remedy available to a consumer under applicable law, the courts and tribunals having jurisdiction over Gautam Budh Nagar, Uttar Pradesh shall have jurisdiction in relation to disputes arising out of these Terms or use of the Website.
24. SEVERABILITY
If any provision of these Terms is determined by a competent court or authority to be invalid, illegal or unenforceable, such provision shall be severed or restricted to the minimum extent necessary, and the remaining provisions shall continue to remain valid and enforceable.
25. NO WAIVER
Failure or delay by JIL in exercising or enforcing any right or provision under these Terms shall not constitute a waiver of such right or provision.
26. RELATIONSHIP WITH OTHER CLUB DOCUMENTS
These Terms govern the use of the Club Adion Website.
Membership and physical use of Club Adion and its facilities shall additionally be governed by the applicable:
1. Membership Agreement;
2. Club Rules and Regulations;
3. Facility Usage Rules;
4. Cancellation and Refund Policy;
5. Privacy Policy;
6. applicable fee structure; and
7. other policies, guidelines and Standard Operating Procedures issued by JIL/Club Adion from time to time.
In the event of any inconsistency, the specific terms governing the relevant membership, facility, booking or transaction shall prevail over these general Website Terms to the extent of such inconsistency.
27. ENTIRE AGREEMENT
These Terms, read together with the Club Adion Privacy Policy and the specific terms applicable to the relevant membership, booking, facility or transaction, constitute the terms governing your use of the Website.
For avoidance of doubt, these Website Terms do not replace the separate Club Adion Membership Agreement / Club Usage Rules applicable to members and users of the physical Club facilities.
USER ACCEPTANCE
By clicking “I Agree” or by registering for or using the services available through the Club Adion Website, I acknowledge that I have read and understood the Website User Agreement / Terms of Use and agree to be bound by the same.
